PREAMBLE

This CodeLibra License ("License") is granted by Developer to Licensee through the CodeLibra platform (www.codelibra.com) operated by CodeLibra, Inc.

This License permits commercial use and proprietary-source development of the Licensed Module subject to the terms and conditions set forth below.

The Licensed Module is also available for license under the terms of the {{MODULE_OSS_LICENSE}} license. You can view the terms of the {{MODULE_OSS_LICENSE}} license at {{MODULE_OSS_LICENSE_URL}}.


1. DEFINITIONS

1.1 "Licensed Module" means {{MODULE_DISPLAY_NAME}}, including all source code, object code, documentation, and related materials, in the version specified above ({{RELEASE_VERSION}}) and any other versions released during the Subscription Term.

1.2 "Derivative Work" means any work whose creation, copying, or distribution requires the permission of the Licensed Module's copyright holder under United States copyright law (e.g., 17 U.S.C. § 101). Derivative Work includes any work based on or derived from any part of the Licensed Module including modifications, adaptations, translations, or any other work in which the Licensed Module is recast, transformed, or adapted.

1.3 "Use" means to execute, run, operate, or otherwise employ software for a functional purpose, including running it on a computer.

1.4 "New Release" means any version of the Licensed Module other than {{RELEASE_VERSION}} released by Developer during the Subscription Term.

1.5 "Subscription Term" means the period from the Effective Date through the Subscription Expiry Date specified above.

1.6 "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with a party, where "control" means ownership of more than fifty percent (50%) of the voting securities or other ownership interests of such entity.


2. LICENSE GRANT

2.1 Grant of Rights

Subject to the terms and conditions of this License, Developer hereby grants to Licensee and its Affiliates a fully paid, royalty-free, perpetual (subject to Section 8), irrevocable (except as provided in Section 8), worldwide, non-exclusive license to:

  • Use the Licensed Module for any lawful purpose, including in connection with software-as-a-service, platform-as-a-service, infrastructure-as-a-service, or similar cloud-based offerings;
  • Reproduce the Licensed Module in any medium or format;
  • Prepare Derivative Works of the Licensed Module by modifying the Licensed Module or incorporating the Licensed Module into other works; and
  • Distribute and publicly perform the Licensed Module and Derivative Works, subject to the sublicensing restrictions in Section 3.

Licensee may also make any use of the Licensed Module permitted by the {{MODULE_OSS_LICENSE}} license.

2.2 Covered Releases

As defined in Section 1.1 above, the Licensed Module includes the version specified in the license header ({{RELEASE_VERSION}}) and any New Releases during the Subscription Term.

2.3 License Only; No Assignment; No Implied Rights

This License does not transfer or convey any ownership interest in the Licensed Module to Licensee. Licensee acquires only the limited license rights expressly granted in this License.

Developer retains all right, title, and interest in and to the Licensed Module, including:

  • All copyrights, patent rights, trademark rights, trade secret rights, and other intellectual property rights;
  • All improvements, modifications, or enhancements made by Developer to the Licensed Module;
  • All derivative works created by Developer;
  • The name, branding, and trademarks associated with the Licensed Module.

Except as expressly granted in this License, no other rights, licenses, permissions, or interests are granted, conveyed, or implied by this License. All rights not expressly granted herein are expressly reserved by Developer.

2.4 Patent Grant

To the extent Developer has or hereafter acquires patent rights that would be infringed by the Licensed Module, Developer grants to Licensee a non-exclusive, worldwide, royalty-free patent license (for the duration of this License) to make, have made, use, offer to sell, sell, import, and otherwise transfer the Licensed Module and Derivative Works.

2.5 Trademark Restrictions

This License does NOT grant any permission to use Developer's trade names, trademarks, service marks, logos, or product names, except:

  • As required for reasonable and customary use in describing the origin of the Licensed Module and reproducing copyright notices;
  • As required for attribution under Section 5;
  • To identify Developer as the developer of the Licensed Module in factual, non-promotional statements.

Any use of Developer's trademarks beyond these limited purposes requires prior written consent from Developer.


3. SUBLICENSING

3.1 Permitted Sublicensing

Licensee may sublicense its rights under this License to third parties ("Sublicensees") for the limited purpose of enabling such Sublicensees to Use Licensee's Derivative Works. Sublicenses must be explicitly limited to Use rights only (execution, operation, and functional deployment including bundling and use as a package). Licensee may not grant Sublicensees the right to further sublicense the Licensed Module or Licensee's Derivative Works that incorporate the Licensed Module except as necessary for the Sublicensee's own Use, such as permitting its Affiliates, employees, or contractors to use licensed software.

3.2 Prohibited Sublicensing

Licensee may not grant Sublicensees any right to modify or create Derivative Works of the Licensed Module or Licensee's Derivative Works that incorporate the Licensed Module except as provided in Section 3.3 below (Bundled Licensing).

3.3 Bundled Licensing

Licensee may grant sublicenses permitting creation of Derivative Works or conveying other development rights beyond Use rights only through CodeLibra's license bundling program, by listing the Licensed Module as a license dependency of a module containing Licensee's Derivative Works. In that case, Sublicensees will receive a direct license to the Licensed Module as well as to Licensee's Derivative Works, and Sublicensees' license fee payments will be automatically apportioned for Developer and Licensee's respective Modules.

3.4 Sublicense Terms

Any sublicenses granted by Licensee are subject to and must include disclaimers of warranties and limitations of liability at least as protective as those in Sections 6 and 7 of this License.


4. SUPPORT AND MAINTENANCE

Unless otherwise agreed in a separate written agreement, Developer has no obligation to:

  • provide technical support, customer support, user assistance, or any other support services for the Licensed Module;
  • provide maintenance, updates, patches, bug fixes, or error corrections;
  • respond to inquiries, questions, or requests for assistance;
  • continue development, release New Releases, or maintain the Licensed Module.

All support and maintenance services, if any, are provided solely at Developer's discretion. Developer may discontinue development or maintenance of the Licensed Module at any time without notice or liability.


5. ATTRIBUTION AND NOTICES

5.1 Attribution in General

Licensee must retain and reproduce in all copies of the Licensed Module and Derivative Works:

  • All copyright and attribution notices included in the Licensed Module;
  • All disclaimers of warranty and limitations of liability;
  • A copy of this License (or a URL where this License can be accessed).

These notices must be preserved in a manner that brings them to the attention of any recipient or user of the software.

5.2 Attribution in Derivative Works

When distributing Derivative Works, Licensee must provide clear attribution to Developer in at least one of the following locations:

  • Product documentation
  • About screen or similar interface element
  • README, LICENSE, or NOTICE file
  • Credits or acknowledgments section
  • Product website or marketing materials

Such attribution shall at a minimum include a notice substantially similar to: "Portions of this software include {{MODULE_DISPLAY_NAME}} created by {{MODULE_DEVELOPER_DISPLAY_NAME}} and licensed under the CodeLibra License. The original work is available at {{MODULE_CODELIBRA_URL}}."

5.3 Modifications Notice

If Licensee distributes modified versions of the Licensed Module or Derivative Works including modified versions of the Licensed Module, Licensee may not represent the modified work as the original Licensed Module or imply that Developer endorses the modifications.


6. WARRANTY DISCLAIMER

THE LICENSED MODULE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. DEVELOPER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY;
  • IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE;
  • IMPLIED WARRANTIES OF TITLE AND NON-INFRINGEMENT;
  • WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE;
  • WARRANTIES THAT THE LICENSED MODULE WILL MEET LICENSEE'S REQUIREMENTS;
  • WARRANTIES THAT THE LICENSED MODULE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF HARMFUL COMPONENTS.

7. LIMITATION OF LIABILITY

7.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEVELOPER BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR RELATED TO THIS LICENSE OR THE LICENSED MODULE, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, business, data, or anticipated savings;
  • Loss of use or diminution in value of the Licensed Module or any equipment or property;
  • Business interruption, downtime, or service failures;
  • Cost of procurement of substitute goods or services;
  • Loss of business relationships or opportunities;
  • Loss of goodwill or reputation;
  • Corruption, loss, or unauthorized access to data or information;
  • Costs of system or data recovery;
  • Legal fees, costs, or expenses arising from claims by third parties;
  • Personal injury or property damage arising from use of the Licensed Module;
  • Any other pecuniary or non-pecuniary losses;

REGARDLESS OF:

  • The form of action (contract, tort, strict liability, negligence, or otherwise);
  • Whether Developer has been advised, knew, or should have known of the possibility of such damages;
  • Whether the damages were foreseeable;
  • The failure of any limited remedy to achieve its essential purpose.

7.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEVELOPER'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS LICENSE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY LICENSEE (OR PAID ON LICENSEE'S BEHALF) TO DEVELOPER FOR THIS LICENSE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. IF NO AMOUNTS HAVE BEEN PAID, DEVELOPER'S MAXIMUM LIABILITY SHALL BE LIMITED TO ONE HUNDRED U.S. DOLLARS ($100.00). THE EXISTENCE OF MULTIPLE CLAIMS OR ACTIONS SHALL NOT EXPAND THIS LIMITATION.


8. TERM AND CANCELLATION

8.1 License Term

This License is effective as of the Effective Date. The license grant in Section 2.1 is perpetual for all releases of the Licensed Module made available during the Subscription Term (including the originally licensed release and any New Releases).

8.2 Perpetual and Irrevocable Grant

Subject only to Section 8.3, the license granted under this License is perpetual and irrevocable. Developer does not have the right to terminate or revoke this License. Developer's obligations under this License run with the Licensed Module and bind Developer's successors and assigns.

8.3 Cancellation by CodeLibra

Notwithstanding Section 8.2, CodeLibra, Inc. retains the right to cancel this License if CodeLibra determines that:

(a) The license fee should be refunded (as authorized by the CodeLibra Account Terms);

(b) The transaction was unauthorized, fraudulent, or illegal;

(c) Licensee has violated the CodeLibra Website Terms, the CodeLibra Account Terms, or the CodeLibra Acceptable Use Policy;

(d) Licensee has violated another binding agreement with CodeLibra, Inc.

Upon cancellation by CodeLibra under this Section 8.3, this License shall be null and void from its inception. A canceled License confers no rights or obligations on either Developer or Licensee. Licensee must immediately cease all Use of the Licensed Module under this License, but may continue to use the Licensed Module under the terms of its open source license (if applicable).

8.4 Effect of Cancellation on Sublicensees

If this License is canceled under Section 8.3:

(a) Sublicenses granted to third parties for Use rights only (as permitted under Section 3.1) may survive cancellation if such sublicenses were properly granted prior to cancellation and the Sublicensee is not involved in the conduct giving rise to cancellation;

(b) If Licensee has already distributed products or Derivative Works incorporating the Licensed Module to third parties prior to cancellation, such third parties may continue to Use the previously distributed products under the terms of their sublicenses, provided the Sublicensee is not involved in the conduct giving rise to cancellation.

8.5 Survival

The following sections survive cancellation or expiration of this License: Sections 5 (Attribution and Notices), 6 (Warranty Disclaimer), 7 (Limitation of Liability), and 10 (General Provisions).


9. FEEDBACK AND CONTRIBUTIONS

If Licensee provides Developer with feedback, suggestions, bug reports, feature requests, or contributions (collectively, "Feedback"):

(a) Licensee grants Developer a perpetual, worldwide, royalty-free, non-exclusive, irrevocable, fully sublicensable license to use, modify, distribute, and otherwise exploit such Feedback for any purpose, including incorporating it into the Licensed Module or other products;

(b) Developer has no obligation to:

  • Acknowledge receipt of Feedback;
  • Incorporate or act upon any Feedback;
  • Provide attribution for Feedback;
  • Compensate Licensee for Feedback;

(c) Licensee warrants that:

  • Licensee has all necessary rights to provide such Feedback;
  • The Feedback does not violate any third-party intellectual property rights;
  • The Feedback is not subject to any license terms that would conflict with this grant;

(d) Feedback will be treated as non-confidential.


10. GENERAL PROVISIONS

10.1 Entire Agreement

This License, together with:

constitutes the entire agreement between Developer and Licensee regarding the Licensed Module and supersedes all prior or contemporaneous understandings, agreements, or negotiations (whether written or oral).

10.2 Amendment

(a) This License may be amended or modified only by:

  • A written agreement signed by authorized representatives of both Developer and Licensee; OR
  • An updated license obtained and accepted through the CodeLibra platform;

(b) Course of dealing, course of performance, usage of trade, and conduct of the parties shall not modify this License;

(c) Any waiver or modification must explicitly reference the specific provision being waived or modified.

10.3 Severability

(a) If any provision of this License is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect;

(b) The invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the parties' intent to the maximum extent possible;

(c) If modification is not possible, the provision shall be severed from this License and the remaining provisions shall continue;

(d) The invalidity of any provision in any jurisdiction shall not affect the validity of that provision in any other jurisdiction.

10.4 Assignment

(a) Licensee: Licensee may not assign, transfer, delegate, or otherwise dispose of this License or any rights or obligations hereunder, whether voluntarily or involuntarily, by operation of law or otherwise, without Developer's prior written consent (not to be unreasonably withheld);

(b) Developer: Developer may freely assign this License without consent, including:

  • To an Affiliate;
  • In connection with a merger, acquisition, or sale of business;
  • To a successor or assign of Developer's business;

(c) Notice: Either party making a permitted assignment shall provide written notice to the other party within thirty (30) days.

10.5 Governing Law

This License shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to this License. For interpretation of open source license terms referenced in this License (such as MIT, Apache-2.0, AGPL-3.0), generally accepted interpretations within the open source community shall be considered.

10.6 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to:

  • This License;
  • The Licensed Module;
  • The relationship between Developer and Licensee;
  • The breach, cancellation, enforceability, validity, or interpretation of this License;

shall be subject to the same dispute resolution procedures as set forth in the CodeLibra Website Terms (available at https://www.codelibra.com/legal/website-terms), including:

  • The mandatory informal dispute resolution process;
  • The binding arbitration agreement;
  • The class action waiver;
  • Any opt-out rights and procedures.

Licensee should review Section 11.2 of the CodeLibra Website Terms carefully, as it affects Licensee's legal rights and requires arbitration of disputes.

10.7 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or network infrastructure failures.

10.8 Relationship of Parties

The relationship between Developer and Licensee is that of independent contractors. Nothing in this License creates any agency, partnership, joint venture, or employment relationship between the parties.

10.9 Notices

Notices under this License may be sent by:

  • Email to the addresses specified below;
  • Certified or registered mail, return receipt requested, to the physical addresses below (if provided); or
  • Nationally recognized overnight courier service to the physical addresses below (if provided)

10.11 Third-Party Beneficiaries

This License is intended solely for the benefit of Developer and Licensee. Except as expressly provided in Section 8.4 regarding Sublicensees, no third party is an intended beneficiary of this License. No third party shall have any right to enforce any provision of this License. Any benefits to third parties are merely incidental.

CodeLibra, Inc. is a third-party beneficiary solely with respect to its rights under Section 8.3 (Cancellation by CodeLibra) and has the right to enforce that section.

10.12 Further Assurances

Each party agrees to execute and deliver such further documents and instruments, and to take such further actions, as may be reasonably necessary or appropriate to carry out the purposes and intent of this License.


11. CODELIBRA PLATFORM

11.1 Platform Role

This License is facilitated through the CodeLibra platform operated by CodeLibra, Inc. CodeLibra, Inc. acts as a platform provider and payment processor but is not a party to the license grant between Developer and Licensee. However, CodeLibra, Inc. retains the cancellation rights specified in Section 8.3.

11.2 Platform Terms

Licensee's use of the CodeLibra platform is subject to the CodeLibra Website Terms (available at https://www.codelibra.com/legal/website-terms) and the CodeLibra Account Terms (available at https://www.codelibra.com/legal/account-terms).

11.3 License Verification

The CodeLibra platform provides license verification services that allow:

  • Licensee to verify the status and scope of this License
  • Developer to verify that Licensee holds a valid license
  • Third parties (with appropriate authorization) to verify Licensee's license status for compliance purposes

License verification information includes:

  • Identification of the Licensed Module
  • License ID, Effective Date, and Subscription Expiry Date
  • License status (active, expired, canceled)

11.4 Platform Disputes

Disputes with CodeLibra, Inc. regarding platform operation, payment processing, or account access are governed by Developer and Licensee's respective agreements with CodeLibra (e.g., the CodeLibra Account Terms and Website Terms), not this License.

Disputes between Developer and Licensee regarding the Licensed Module, scope of rights, or interpretation of this License are governed by Section 10.6 of this License.

CodeLibra, Inc. is not responsible for disputes between Developer and Licensee, although it may provide information or assistance upon request.
